Item 1.01. Entry into a Material Definitive Agreement.
On March 20, 2020, the Company entered into a Second Amendment to Amended and Restated Uncommitted Credit Agreement with Cooperative Rabobank U.A., New York Branch as Administrative Agent and Joint Lead Arranger; Natixis, New York Branch as Syndication Agent and Joint Lead Arranger; and various lenders (the “Credit Agreement.”) The Credit Agreement will become effective as of March 27, 2020, and provides for a $270 million credit facility, consisting of a $220 million base and a $50 million accordion feature. The maturity date of the new credit facility is March 26, 2021.
The foregoing description of the Credit Agreement is qualified in its entirety by reference to the Credit Agreement, a copy of which is filed as Exhibit 10.1 and is incorporated herein by reference.
